TAG PROVIDES SERVICES "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

TAG SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO TAG IN THE TWELVE MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow certain limitations, so these may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless TAG, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the services
  • Your violation of these terms
  • Your violation of any rights of another party
  • Your content or data uploaded to the platform

Termination

Either party may terminate this agreement at any time:

  • By You: You may discontinue use and close your account at any time through account settings or by contacting us.
  • By TAG: We may suspend or terminate your access immediately if you violate these terms, engage in fraudulent activity, or for any other reason with reasonable notice.

Upon termination:

  • Your right to access and use the services immediately ceases
  • You remain responsible for fees incurred before termination
  • We may delete your content after a reasonable period, subject to legal retention requirements
  • Provisions that by nature should survive (including indemnification, limitations of liability) continue in effect

Governing Law and Dispute Resolution

These terms are governed by and construed in accordance with the laws of [Jurisdiction], without regard to conflict of law principles.

Any disputes arising from these terms or the services shall be resolved through:

Force Majeure: Neither party is liable for failure to perform due to circumstances beyond reasonable control.
